Terms of service
Draft — 2026-10-25, pending review by counsel. These terms cover the spendctl.dev website, the waitlist, and the hosted spendctl control plane once it launches. The sidecar software itself is licensed under the licence that ships with it (LICENSE in the npm package); where the two overlap, the software licence governs the software.
Who we are
Section titled “Who we are”Mirai Studio, Inc. (株式会社みらいスタジオ), Tokyo, Japan (“we”). Contact: security@spendctl.dev.
The website and the waitlist
Section titled “The website and the waitlist”You may use the site and join the waitlist for your own evaluation of spendctl. Joining the waitlist creates no obligation on either side; we may change plans, prices and timelines before launch. Founding pre-orders, when offered, will carry their own terms shown at checkout (price lock, refund if GA slips past the stated date).
The sidecar is non-custodial
Section titled “The sidecar is non-custodial”The sidecar signs payments with a wallet you control and keeps its ledger on systems you control. We do not hold your keys or funds, and the hosted control plane never relays a signed payment authorization. You remain responsible for the policies you configure, for the wallets you connect, and for the payments your agents make.
No warranty
Section titled “No warranty”The site, the waitlist and (when launched) the control plane are provided “as is” and “as available”. Spend policies are a safeguard, not a guarantee: we do not warrant that every unintended or erroneous payment will be prevented, that sellers or facilitators behave correctly, or that any blockchain or payment network is available.
Limitation of liability
Section titled “Limitation of liability”To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, and our total liability for anything arising from the site or the hosted service is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability that cannot be limited under applicable law.
Acceptable use
Section titled “Acceptable use”Do not use the site or the hosted service to break the law, to attack or overload our systems, or to resell or scrape them. We may suspend access that does.
Governing law
Section titled “Governing law”These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance. Consumers in jurisdictions that grant non-waivable protections keep them.
Changes
Section titled “Changes”We may update these terms; the date at the top changes when we do. Continued use after a change means you accept it.
